Elmart Vendor Terms & Conditions

These Vendor Terms govern the relationship between Elmart and vendors who list products or services on the Elmart platform. By listing on Elmart, you agree to these terms

1. Role of Elmart

Elmart operates as a digital marketplace and intermediary.
Elmart does not own, stock, or sell vendor products. Vendors are independent sellers responsible for their own goods and services.

2. Vendor Responsibilities

• Provide accurate product descriptions and pricing
• Ensure products or services are lawful and safe
• Fulfill orders promptly and professionally
• Communicate clearly with customers when required
• Honor confirmed orders

3. Orders & Fulfillment

All orders placed through Elmart are fulfilled directly by the vendor.
Vendors are responsible for delivery, quality, and customer satisfaction unless otherwise agreed.

4. Commission & Fees

• Orders below 10,000 UGX are not commissionable
• Commission applies only to completed sales
• Commission is calculated on the total order value

          Example:
          Order value: 20,000 UGX → 
          Commission: 2,000 UGX →
          Vendor receives: 18,000 UGX
        

5. Payment & Settlement

Vendors receive payments directly from customers unless Elmart explicitly facilitates payment. Commission settlement is currently handled manually and is expected to be settled weekly unless otherwise agreed.

Note: Transaction fees from payment providers (e.g mobile money charges) are deducted before commission calculation and payout.
Vendors receive the net amount after both commission and transaction fees.

6. Honest Reporting

Vendors must honestly report completed orders originating from Elmart.
Deliberate misreporting or avoidance of commission obligations may result in suspension or removal from the platform.

7. Cancellations and Disputes

• Cancelled or failed orders are not commissionable
• customer disputes should be handled directly by the vendor
• Elmart may assist in dispute resolution but is not liable

8. suspension & Termination

Elmart reserves the right to suspend or remove vendors who violate these terms, engage in fraudulent activity, or harm the platform's integrity.

9. Changes to Terms

Elmart may update these Vendor Terms as the platform evolves. Continued use of the platform constitutes acceptance of updated terms.
